 this is a first try...in making a short movie....not movie to be exact , just a narrative piece..please drop your valuable comments if you will. and your honest critism about it.

    will definitely try making better ones in future...

I really liked the way you started the movie. It was a nice use of a tracking shot. Did you use car as a dolly device ? if so , then you did a great job. However, If i were you I would change the framing in "0:15" min. I think you should try to use wide angle lens from different perspective. The framing looked little bit off the mark. If i were you, I would study the work of great Greg Toland for wide angle shots. I would also lower the iso while filming outdoors. It would give me more crispy image.
The music is good..but in times little loud. If you are using final cut pro, it is easy to normalize the sound.
I would also use large F stops or small aperture. 
To control exposure, i would  try to use different ND filters. There are several ways to control exposure in the background. I would youtube or google the tricks to do so.
I think that the cinematographer continously forgot to use custom white balance. The results are seen in the images.
You did a good job with the lighting at the night. However, next time i d do more research about low key lighting with low ISO.
I am not going to comment on ur story.
It does not matter right now..This is the learning phase.
I am also a student filmmaker.
Just released my movie. Unsuccessfuly competed for several film festivals.
I know it is pain in the butt to make a movie..therefore, i say keep practicing we will get there one day.
If u can try watching movies from great directors from around the world..
Start with DW Griffith and study the films..It is an amazing world.

As Bibek suggested, white balance, night exposures etc could have been better. But, hey its your first try so good job for the first project. 
And I would like to comment on the content as well. It sounded like reciatation of the dialouges ! When we are alone and think we do not have any dialouges to read from, do we? Dialouge delivery should not sound like you are reading off of paper. 

anyway, keep up the good work !

 really appreciate your inputs bibekhere and bhaktedai ....will definitely try and impliment them in my upcoming projects...i was just fooling around with resources i had handy...

This is pretty good for a first timer. Aside from minor technical issues it is a pretty good job over all. Keep it up
